Governance

Republic is made up of a limited company (Republic Campaign Ltd) and an unincorporated association (Republic Campaign Association). We are governed by a Board of Directors, which sets broad strategy and concerns itself with the financial management of the organisation. Members of Republic elect the Executive Committee of the Association. Each EC member is appointed to the Board of the Company.

To help its work the Board has delegated a number of areas of responsibility to the Management Committee and to individual directors.

The day-to-day management of the campaign and organisation are managed by the Chief Executive Officer, Graham Smith.

Board of Directors

There must be no fewer than six and no more than eighteen Board Members (excluding the Executive Officer, who is an ex officio Director).

A third of the Board stands for election to the EC of the Association each year. The Board meets once every two months, usually on the third Saturday of January, March, May, July, September and November. There is a standing invitation to all paid up members to attend Board meetings.

Memorandum and Articles of Association

In 2006 Republic became a company limited by guarantee. In 2009 Republic Campaign Association was formed. The organisation's structure and rules are determined by the constitution of the Association and the Memorandum and Articles of Association of the Company.

Annual General Meeting

Each year, usually around the end of October, we hold our Annual General Meeting (AGM). This is an opportunity for members to meet staff, directors and volunteers, and to debate the issues and strategies. Members can also stand for election or propose changes to policy or the constitution at the time of the AGM.

We also hold a Spring Conference outside of London and, as of 2009, we hold a seperate Annual Conference in the middle of the year.
